Welcome to the LaunchPAD Portal ("Portal"), operated by Launch Production and Design LLC ("Launch Production," "we," "us," or "our"). The Portal is an all-encompassing platform for real estate content delivery, media management, and social media management — serving real estate professionals in the Huntsville, Alabama area and beyond.

By accessing or using the Portal at portal.launchhsv.com, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the Portal.

1. Services

Launch Production and Design LLC provides the following services through the Portal:

• Content Delivery: Professional photography, videography, aerial/drone imaging, virtual tours, and interactive media — produced, edited, and delivered through the Portal
• Media Management: Centralized storage, organization, gallery hosting, and distribution of all media assets associated with your properties and listings
• Social Media Management: Content scheduling, posting, and performance tracking across social media platforms to market your listings and brand
• Order Management: Scheduling, tracking, and fulfillment of media service orders
• Client Portal: Secure access for agents and their clients to view deliverables, track project progress, and manage communications
• Transaction Integration: Connectivity with third-party platforms (e.g., Dotloop, MLS) for streamlined real estate workflows

Services are subject to availability and may be modified at our discretion. Service details, pricing, and turnaround times are as agreed upon at the time of order.

2. Account Registration and Access

• You must provide accurate, complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately of any unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these terms or remain inactive for an extended period.

3. Ordering and Payment

• Orders: All orders placed through the Portal are subject to confirmation and availability. We will make reasonable efforts to fulfill orders within the agreed timeframe.
• Pricing: Prices for services are as listed at the time of order or as otherwise agreed in writing. We reserve the right to update pricing for future orders.
• Payment: Payment is due as specified at the time of order. We accept payments processed through our integrated payment providers. Late payments may result in service suspension.
• Cancellations: Cancellation policies are provided at the time of booking. Late cancellations or no-shows may incur fees.

4. Media Ownership and Licensing

Media Produced by Launch Production and Design LLC

• Copyright: All photos, videos, virtual tours, and other media produced by Launch Production and Design LLC remain our intellectual property.
• Client License: Upon full payment, clients receive a non-exclusive, royalty-free license to use delivered media for marketing and selling the specific property photographed. This license includes use on MLS, real estate websites, social media, and print marketing materials.
• Restrictions: Media may not be resold, sublicensed, or used for purposes unrelated to the property listing without written permission. Media may not be altered in a way that misrepresents the property or removes Launch Production and Design LLC branding where applicable.

Media Uploaded by Users

• Your Content: You retain ownership of any media you upload to the Portal. By uploading, you grant Launch Production and Design LLC a non-exclusive license to store, display, and process the content as necessary to provide our services.
• Responsibility: You are solely responsible for ensuring you have the right to upload and share any content, and that it does not infringe on third-party rights.

5. Third-Party Integrations

The Portal may integrate with third-party services such as transaction management platforms (e.g., Dotloop), MLS systems, payment processors, and scheduling tools. When you authorize a third-party integration:

• You consent to the exchange of data necessary for the integration to function.
• Third-party services are governed by their own terms and privacy policies.
• Launch Production and Design LLC is not responsible for the performance, availability, or data practices of third-party services.

6. Social Media Management

Where social media management services are provided through the Portal:

• Authorization: You authorize Launch Production and Design LLC to post content on your behalf to connected social media accounts as directed by you or your designated team members.
• Content Approval: You are responsible for reviewing and approving content before it is published, unless you have authorized automatic posting.
• Platform Terms: All social media activity is subject to the terms and policies of the respective platforms (Instagram, Facebook, LinkedIn, etc.). Launch Production and Design LLC is not responsible for platform actions such as content removal, account suspension, or algorithm changes.
• Disconnection: You may revoke social media access at any time by disconnecting your accounts through the Portal or the respective platform settings.

7. Acceptable Use

You agree not to:

• Use the Portal for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Portal or its systems
• Upload content that is offensive, defamatory, infringing, or otherwise objectionable
• Interfere with or disrupt the Portal's functionality or security
• Use automated tools to scrape, crawl, or extract data from the Portal
• Share your account credentials with unauthorized individuals

8. Media Galleries and Downloads

• Authenticated Access: Logged-in clients may view full-quality media and download files as permitted by their account type and order terms.
• Public Galleries: Where galleries are shared publicly (e.g., for property listings), media may be displayed at reduced quality with watermarks. Downloading and redistribution of watermarked media is prohibited.
• Download Tracking: We may track downloads for security and licensing compliance purposes.

9. Limitation of Liability

To the fullest extent permitted by law, Launch Production and Design LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Portal or our services. This includes, but is not limited to:

• Loss of data or media files
• Service interruptions or delays
• Decisions made based on information provided through the Portal
• Actions of third-party service providers

Our total liability for any claim shall not exceed the amount you paid for the specific service giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Launch Production and Design LLC, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Portal, violation of these terms, or infringement of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your access to the Portal at our sole discretion, with or without notice, for conduct that we determine violates these terms or is harmful to other users, us, or third parties. Upon termination, your license to use the Portal ceases immediately.

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Alabama, United States. Any disputes arising from these terms or your use of the Portal shall be resolved in the courts of Madison County, Alabama.

13. Changes to These Terms

We may update these Terms and Conditions from time to time. Material changes will be communicated through the Portal or via email. Continued use of the Portal after changes constitutes acceptance of the revised terms.
